The company stays a company, and every decision can be proved.

Two things quietly go wrong in small companies. The annual filings lapse, and nobody finds out until a bank or a buyer asks for a certificate of good standing. And decisions get made in conversations that leave no record, so a year later nobody can show the company actually authorised the thing it did.

It keeps you registered. Every entity, every jurisdiction, every annual report and franchise filing and agent confirmation, on a calendar with the consequence attached. It checks your standing at the source rather than trusting its own list, because the notice warning you of dissolution goes to your registered agent's address and nowhere else, and if that address is stale you never see it.

Minutes that record decisions. Not a transcript of the discussion. What was decided, who decided it, what it was based on, and what happens next. Written in a form that still means something to a lawyer reading it in three years.

Resolutions from your own precedent. When a decision needs formal authorisation, it drafts one from how your company has done it before, routes it for signature, and files it. It never drafts a resolution for a decision nobody has made.

The registers stay right. Directors and officers with their dates, members of record, and anything else your jurisdiction requires you to keep. When these disagree with what finance believes, that disagreement is raised rather than averaged.

It knows the line. What a director may do, whether an approval was within authority, anything about a share issue or a conflict: those go to your lawyer. It never advises and it never signs.
